12. Final Provisions

12.1 These Terms of Use and any legal relationships arising from them shall be governed by the laws of Hong Kong, without regard to its conflict of law principles. Any dispute, controversy or claim arising out of or in connection with these Terms of Use, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The arbitration tribunal shall consist of a sole arbitrator. The award rendered shall be final and binding on the parties.

12.2 Should any provision hereof be ascertained as invalid, ineffective or unenforceable, such provision shall be replaced by a provision whose sense and purpose comes as closely as possible to the original. The invalidity of one provision shall not affect the validity of the remaining provisions.

12.3 We may assign, delegate or transfer our rights or obligations under these Terms of Use to an affiliate or in connection with a merger, reorganization, sale of equity or assets, or other change of control of our business. We will provide notice of any such transfer.
